Terms of sale
Draft for review by Canadian counsel before first sale. These terms apply to every quotation, order and shipment by QuadBio Research Reagents (“QuadBio”).
1. Eligibility
QuadBio sells only to research institutions located in Canada that have completed account verification: universities and colleges, hospital and health-authority research institutes, contract research organizations, biotechnology and pharmaceutical research and development groups, and government laboratories. QuadBio does not sell to individuals, does not deliver to residential or mailbox addresses, and does not ship outside Canada. QuadBio may decline, suspend or close any account at its discretion.
2. Research use only
Every product is a chemical reagent supplied solely for in-vitro laboratory research, or for animal research conducted under a protocol approved by the purchaser’s institutional animal care committee, by qualified personnel. Products are not drugs, natural health products, cosmetics, foods or medical devices within the meaning of the Food and Drugs Act, have not been evaluated by Health Canada, and are not for human or veterinary use, nor for diagnostic, therapeutic, cosmetic or nutritional use. QuadBio makes no claim about the effect of any product in humans or animals and provides no information on reconstitution, dosing or administration.
3. Verification and records
The purchaser consents to verification of the institution, the applicant, the delivery address and the stated research use, and will supply supporting documents on request. QuadBio re-verifies accounts at least every twelve months, keeps order records for seven years, and may report suspected diversion to the purchaser’s institution and to Health Canada.
4. Prohibited uses and excluded products
The purchaser shall not administer any product to a human being; use any product in a clinical, cosmetic, wellness or athletic setting; compound, formulate or repackage any product for such use; resell, donate or transfer any product; or export any product from Canada. QuadBio does not supply, and declines requests for, the following even from approved accounts:
- Semaglutide, tirzepatide, liraglutide, dulaglutide, retatrutide, survodutide, cagrilintide and other GLP-1 / incretin receptor agonists
- Teriparatide, tesamorelin, bremelanotide (PT-141), oxytocin, gonadorelin, hCG, somatropin, erythropoietin
- Melanotan II
- Any peptide under active Canadian patent protection
Breach of this section terminates the account and all open quotations.
5. Quotations, orders and payment
Quotations are in Canadian dollars, valid for 30 days, and exclusive of GST/HST and provincial sales tax. An order is formed when QuadBio accepts a purchase order or a signed quotation. Approved institutions are invoiced on net-30 terms; payment by electronic funds transfer, wire or institutional cheque. QuadBio does not accept card payments. Overdue accounts may be placed on hold.
6. Shipping, title and inspection
Shipments are by tracked courier with signature on delivery to the verified institutional address only. Risk passes on delivery; title passes on payment. The purchaser shall inspect each shipment and report shortages, damage or discrepancies against the certificate of analysis within five business days of delivery.
7. Quality, re-test and remedies
Each released lot conforms to the specifications stated on its certificate of analysis at the time of release. If the purchaser’s analysis disagrees with the certificate, QuadBio will arrange a re-test of the retained sample at a second accredited laboratory at its own cost. A lot confirmed out of specification will be replaced or credited in full. Because chain of custody cannot be re-established once a vial has left QuadBio’s control, products are otherwise not returnable.
8. Hazard communication
A safety data sheet in WHMIS 2015 format, in English and French, accompanies each shipment. The purchaser is responsible for safe handling, storage and disposal in accordance with its institutional policies and applicable law.
9. Limitation of liability
QuadBio’s liability for any claim arising from a product is limited to replacement of the product or refund of the price paid. QuadBio is not liable for indirect, consequential or incidental loss. Nothing in these terms limits liability that cannot be limited under applicable law.
10. Governing law
These terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein. The courts of British Columbia have exclusive jurisdiction.
Privacy notice
QuadBio collects the institutional contact details, delivery address and research-use description supplied with an account application in order to verify eligibility, process orders, meet record-keeping obligations and communicate about orders and quality notices. This information is handled in accordance with the Personal Information Protection Act (British Columbia) and, where applicable, PIPEDA. It is not sold or shared for marketing. Records are retained for seven years after the last order. Requests to access or correct information may be sent to accounts@quadbio.ca.
